شروط الخدمة
These terms are the agreement between you and Vela Solutions Ltd for using Cuenook. Please read them carefully: they explain what Cuenook is and isn't, how payments and refunds work, and the limits on our responsibility, especially for AI-generated content.
يُعرض هذا المستند باللغة الإنجليزية، والنسخة الإنجليزية هي النسخة المعتمدة.
Who we are and these terms
Cuenook is provided by Vela Solutions Ltd, a company registered in England and Wales under company number 17163051, whose registered office is at Flat 17 Verum House, 19 New Street, Basingstoke, RG21 7BT, England ("we", "us" or "our"). You can reach us at [email protected] or through the contact form.
By creating an account or using Cuenook, you agree to these terms and to our Privacy Policy, which explains how we handle personal data. If you don't agree, please don't use Cuenook.
Who can use Cuenook
You must be at least 18 years old and able to enter into a binding contract. Cuenook is for your own personal learning; it is not licensed for business, school or resale use unless we agree otherwise in writing.
Give accurate details when you sign up, keep your password private and tell us straight away if you think someone else has used your account. You're responsible for everything done through your account, unless it happened because we failed to keep it secure.
What Cuenook is, and isn't
Cuenook is a tool for preparing and rehearsing spoken English. It offers practice scripts, model voices, word meanings and tips, and lets you record and replay your own takes.
It is not a course leading to a qualification, a certified assessment or exam preparation with guaranteed results, and it is not legal, medical, immigration, employment or other professional advice. We don't promise any particular outcome, such as a level, test score, job, interview result or visa decision.
AI-generated content
Some of Cuenook's content is produced automatically by artificial intelligence, using models from third-party providers such as OpenAI, Anthropic and ElevenLabs. This includes practice texts written for you, topic checks, some word meanings and tips, and synthetic voices.
AI output is generated automatically and is not checked by a person before you see it. It can be inaccurate, incomplete, out of date, unnatural, biased or unsuitable, and AI voices can mispronounce words or sound different from a real speaker. AI output does not represent our views and is not advice.
You're responsible for reviewing AI output and using your own judgement before relying on it, especially for anything important. Don't enter sensitive personal information, such as health or financial details, into topics or texts.
Similar requests can produce similar results for different people, so we can't promise that AI output is unique. AI voices are synthetic and don't belong to any real person; don't use them to imitate or mislead anyone.
Your content
What you write, type and record in Cuenook (your content) stays yours. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process and transmit your content only as needed to provide and improve Cuenook for you, including sending your text to our AI providers to produce output. This licence ends when your content is deleted, apart from copies kept for a limited time in backups or where the law requires us to keep them.
You confirm that you have the right to use your content and that it doesn't break the law or anyone else's rights. You may use the scripts and output Cuenook creates for you in your own life, including in real conversations, interviews and presentations. Audio made with Cuenook's voices is for your personal practice: don't sell, publish or redistribute it.
Acceptable use
Don't use Cuenook to create, upload or share anything unlawful, harmful, threatening, abusive, hateful, sexually explicit or infringing; to record other people without their permission; or to impersonate anyone or make misleading audio of a real person.
Don't try to get around credits, limits or security; access Cuenook with bots, scrapers or other automated means; copy, resell or reverse-engineer the app; or do anything that could damage, overload or interfere with the service or other users.
If you break these rules, we may remove content, limit features or suspend your account, and you're responsible for losses your breach causes us, to the extent the law allows.
Credits, plans and payments
Some features, such as AI voices and extra AI-written texts, use credits. You can buy credits in one-off packs or receive them through a monthly or annual plan. Prices are shown before you pay, and payments are processed by Stripe.
Credits are a prepaid right to use Cuenook's paid features. They have no cash value, aren't money or e-money, can't be transferred or sold, and can only be refunded as described in these terms.
Plan credits arrive each month, on annual plans too. Unused credits from one month carry over to the next month and then end. Credits from a plan end 30 days after the plan ends, credits from packs end if you don't sign in for 24 months, and all credits end when your account is closed.
Plans renew automatically at the end of each period until you cancel. You can cancel at any time from Settings, and your plan stays active until the end of the period you've paid for. We may change prices for future periods; we'll tell you before a change applies to your plan, so you can cancel first. If a payment fails, we may pause your plan until it's paid.
Cancellation and refunds
If you're a consumer, you normally have 14 days to cancel a purchase of digital content or services. When you buy credits or a plan, you ask us to make them available straight away and accept that you lose this right for anything you've already used.
So, within 14 days of buying, credits you haven't used are refunded in full if you ask us, and credits you've used are not refunded. After 14 days, purchases aren't refundable, and cancelling a plan stops future payments but doesn't refund the current period.
None of this affects your legal rights if something we supply is faulty or not as described. To ask for a refund, write to [email protected] from the email address on your account.
Recordings and storage
We store your recordings so you can play them back. How long they're kept depends on your plan: some recordings, such as videos on the free plan, are kept only for a limited time, as shown in the app, and are then deleted automatically.
Cuenook is not a backup service, so download anything you want to keep. As far as the law allows, we aren't responsible for content that is deleted under these limits, or after you or we close your account.
Changes and availability
We keep improving Cuenook, so we may add, change or remove features, voices, scripts and plans. Cuenook is provided as it is and as available: we don't promise that it will always be available, uninterrupted, secure or free of errors, and it may be paused for maintenance or because of problems with services we rely on.
If we stop offering Cuenook altogether, we'll tell you in advance and refund credits you've paid for and not used.
We may update these terms. If a change matters, we'll tell you by email or in the app before it takes effect. If you keep using Cuenook after that, the new terms apply; if you don't agree, you can stop and close your account.
Suspension and closing your account
You can close your account at any time in Settings. We may suspend or close your account if you seriously or repeatedly break these terms, if the law requires it, or to protect Cuenook, its users or others from harm or fraud. Where it's reasonable, we'll tell you why first.
If we close your account because you broke these terms, unused credits are not refunded, to the extent the law allows. Terms that by their nature should continue after your account closes, such as those on payments, liability and disputes, continue to apply.
Our rights
Cuenook, including its software, design, name and logo, ready scripts, voice library and other materials, belongs to us or our licensors. We give you a personal, non-exclusive, non-transferable and revocable licence to use Cuenook for your own learning, in line with these terms. All other rights are reserved.
Third-party services
Cuenook relies on services from other companies, such as Google sign-in, Stripe payments, cloud storage and AI providers. Their own terms and policies may apply when you use them. We're not responsible for third-party services or websites, or for content we link to.
Disclaimers
As far as the law allows, we make no promises about Cuenook beyond those set out in these terms. In particular, we don't promise that content, including AI output, is accurate, complete or suitable for a particular purpose, or that using Cuenook will produce any particular result.
If you're a consumer, you have legal rights when services or digital content aren't provided with reasonable care and skill, aren't of satisfactory quality or aren't as described. Nothing in these terms affects those rights.
Our responsibility for loss or damage
We're responsible for loss or damage you suffer that is a foreseeable result of us breaking these terms or failing to use reasonable care and skill. We're not responsible for loss or damage that isn't foreseeable, or that is caused by events outside our reasonable control.
Cuenook is for personal use, so we're not responsible for business losses, such as lost profit, income, business or opportunity. We're also not responsible for decisions you make based on Cuenook's content, including AI output, or for how you do in an exam, interview or any other situation.
As far as the law allows, our total responsibility to you for all claims connected with Cuenook is limited to the greater of the amount you paid us in the 12 months before the claim arose and £50.
Nothing in these terms limits or excludes our responsibility for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that the law doesn't allow us to limit or exclude. If digital content we supply damages your device or other digital content because we didn't use reasonable care and skill, we'll repair the damage or compensate you.
Law and disputes
If you have a problem, please contact us first; most issues can be solved quickly. These terms are governed by the law of England and Wales, and the courts of England and Wales can hear disputes. If you live in Scotland or Northern Ireland, you can also bring proceedings in your local courts.
If you live outside the United Kingdom, you keep any protection given to you by the mandatory consumer laws of the country where you live.
General
These terms, together with the Privacy Policy and any terms shown when you buy something, are the whole agreement between you and us about Cuenook. If a court finds part of these terms invalid, the rest still applies. If we don't enforce a right straight away, we can still enforce it later.
We may transfer our rights and obligations under these terms to another organisation, and we'll make sure this doesn't reduce your rights. You can't transfer yours without our written agreement. No one else has rights under these terms. Translations are provided for convenience; if a translation differs from the English version, the English version applies.
